The agreement between you and Vectio

Important Notice

By creating an account or using Vectio.app, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the Platform.

1. Definitions

"Platform" — The Vectio.app website, services, and related applications

"We", "Us", "Our" — Vectio, a sole proprietorship registered in Denmark

"User", "You", "Your" — Any person who accesses or uses the Platform

"Creator" — A User who creates and submits video content

"Brand" — A User who creates campaigns and pays for content

"Campaign" / "Case" — A brief or project created by a Brand for Creators to participate in

"Submission" — Content submitted by a Creator to a Campaign

2. Service Description

Vectio is a performance-based influencer marketing platform. Brands post campaigns, creators submit videos promoting those campaigns, and creators are paid based on actual views and engagement their content generates.

High Speed Mode (Direct Upload)

Creators post content directly to their YouTube or TikTok channels. Performance is tracked automatically and earnings are calculated based on views. Best for speed and trending content.

Control First Mode (Pre-Approval)

Creators upload video files to Vectio for Brand review before publishing. The Brand can approve, request revisions, or reject. Once approved, the creator publishes to their channel. Best for brands wanting content control.

3. Account Registration & Eligibility

3.1 Age Requirement

You must be at least 16 years old to use Vectio.app. If you are between 16 and 18 years old, you must have parental or guardian consent and your parent or guardian must agree to these Terms on your behalf.

3.2 Account Types

  • Creator Account — For individuals who create and submit video content
  • Brand Account — For businesses or individuals who create campaigns and pay for content

3.3 Account Responsibilities

You agree to:

  • • Provide accurate, complete, and current information
  • • Maintain the security of your account credentials
  • • Immediately notify us of any unauthorized access
  • • Be responsible for all activities under your account
  • • Maintain only one account per person or legal entity

4. Intellectual Property & Content

4.1 Your Content Ownership

You retain full ownership of all content you create and submit. We do not claim ownership of your videos, images, or other creative work.

4.2 License to Vectio

By submitting content to the Platform, you grant Vectio a non-exclusive, worldwide, royalty-free license to:

  • • Display your content on the Platform to relevant Brands
  • • Store your content on our servers
  • • Share previews/thumbnails with potential collaborators
  • • Use your publicly available content for marketing and promotional purposes (e.g., showcasing creator work, platform testimonials, social media)

This license applies as long as your content remains public. It terminates when you delete your content, make it private, or delete your account.

4.3 Content Standards

All content must:

  • • Be original or properly licensed by you
  • • Not infringe on any third-party intellectual property rights
  • • Comply with YouTube, TikTok, and other platform Terms of Service
  • • Not contain illegal, defamatory, obscene, or harmful material
  • • Not violate any applicable laws or regulations
  • • Follow the rules, guidelines, and requirements specified by the Brand in the campaign brief to the best of your ability

4.4 Rights Granted to Brands

By submitting content to a campaign, you grant the sponsoring Brand a non-exclusive, worldwide, royalty-free license to use, share, and promote your content for commercial and marketing purposes, as long as the content remains publicly available on its original platform. This includes the right to embed, reshare, or feature your content in the Brand's own marketing materials.

4.5 Content Retention & Earnings Clawback

Mandatory Retention Period: Creators must keep Campaign videos publicly available on their channels for at least 30 days after the Campaign deadline.

If a video is removed, deleted, or made private before this 30-day period expires:

  • • You immediately forfeit the right to keep any earnings from that video
  • Vectio reserves the right to RECLAIM the full amount paid for the removed video. We may deduct this from future earnings, reverse previous transfers (creating a negative balance), or invoice you directly.
  • Warning: Failure to repay reclaimed amounts is a serious breach. Unpaid debts may be referred to debt collection agencies, result in legal action, and will lead to a permanent ban from the Vectio platform.

4.6 Brand Safety & Eligibility Breaches

Brands may specify eligibility requirements (e.g., "No gambling sponsors," "No political content"). By joining a campaign, you warrant that you meet these criteria.

If it is discovered that you joined a campaign in violation of its rules, or if your association causes material reputational harm to the Brand due to such violation:

  • • You must refund (or we will reclaim) all earnings from that campaign
  • • You may be held liable for damages to the Brand under the Indemnification clause
  • • Your account may be immediately suspended

5. Payments & Fees

5.1 Creator Earnings

  • • Earnings are determined by campaign budgets and selection by Brands
  • Minimum payout threshold: 100 DKK
  • • Payouts processed via Stripe to your connected bank account
  • • Processing time: Typically 2-5 business days after payout request

5.2 Platform Fees

Vectio charges a platform fee on campaigns. The exact fee structure is disclosed to Brands during campaign creation and to Creators before participation. Current fees:

Platform fee: 10% of campaign budget + 25% Danish VAT on the fee

5.3 Identity Verification

Before receiving your first payout, you must complete identity verification through Stripe Identity. This is required for anti-fraud compliance and Danish anti-money laundering regulations.

5.4 Tax Responsibility

You are solely responsible for reporting and paying all applicable taxes on your earnings. Vectio will provide transaction records for tax purposes upon request. We do not withhold taxes unless required by law.

6. Prohibited Activities

You agree NOT to:

  • Manipulate metrics — Use bots, fake views, purchased engagement, or any artificial means to inflate video performance
  • Create multiple accounts — Maintain more than one account to game the system or circumvent bans
  • Submit content you don't own — Use copyrighted material without proper rights
  • Harass or abuse — Threaten, bully, or harass other users
  • Circumvent payments — Bypass platform fees or arrange off-platform payments
  • Scrape or data mine — Automatically extract data from the Platform
  • Upload malicious content — Distribute viruses, malware, or harmful code
  • Misrepresent identity — Impersonate others or provide false information
  • Violate laws — Engage in any illegal activities using the Platform

Violation of these rules may result in immediate account suspension, forfeiture of earnings, and potential legal action.

7. Content Moderation & Quality Control

7.1 Review Process

All submissions may be reviewed by our team or the Brand for compliance with campaign requirements, quality standards, and these Terms. We use both automated tools and human review.

7.2 Rejection & Removal Rights

We reserve the right to reject, remove, or restrict content that:

  • • Violates these Terms or campaign requirements
  • • Shows signs of metric manipulation or fraud
  • • Fails quality standards set by the Brand
  • • Is reported and found to be in violation

Rejected submissions will include feedback when possible. You may appeal moderation decisions by contacting support.

8. Social Media Integrations

8.1 Account Linking

When you link your YouTube or TikTok account, you authorize us to:

  • • Verify account ownership
  • • Retrieve video performance metrics (views, likes, comments)
  • • Access public profile information

8.2 Third-Party Platform Compliance

You must comply with YouTube's and TikTok's respective Terms of Service. Violations on those platforms may result in suspension from Vectio.

8.3 Unlinking Accounts

You can unlink your social media accounts at any time from Settings. Note that this may affect your ability to submit content or have performance tracked.

9. Disclaimers & Limitations of Liability

9.1 Service Availability

The Platform is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure access to the Platform.

9.2 No Earnings Guarantee

We make no guarantees about earnings potential. Whether you earn money depends on many factors including your content quality, Brand selection, and market conditions.

9.3 Third-Party Dependencies

We are not responsible for changes to YouTube, TikTok, or Stripe APIs, policies, or availability. Platform integrations may break due to external factors beyond our control.

9.4 Limitation of Liability

To the maximum extent permitted by Danish law, Vectio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Platform.

Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim, or 1,000 DKK, whichever is greater.

9.5 Consumer Rights Preserved

Nothing in these Terms affects your statutory rights as a consumer under Danish or EU consumer protection laws. If you are a consumer, mandatory consumer protection laws of your country of residence will apply.

10. Account Termination

10.1 Termination by You

You may terminate your account at any time by contacting support or through account settings. Upon termination:

  • Any outstanding earnings are forfeited. We are not obligated to pay out earnings to accounts that voluntarily close before requesting a payout.
  • • Your content will be removed from the Platform
  • • Your personal data will be handled per our Privacy Policy

We recommend requesting all available payouts before closing your account.

10.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • • Violate these Terms of Service
  • • Engage in fraudulent activity
  • • Abuse, harass, or harm other users
  • • Provide false information or misrepresent identity

In cases of serious violation (fraud, metric manipulation), earnings may be forfeited.

10.3 Effect of Termination

Upon termination, your license to use the Platform ends immediately. Sections that should survive termination (IP rights, limitation of liability, governing law) remain in effect.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vectio, its owner, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • • Your use of the Platform
  • • Your content or submissions
  • • Your violation of these Terms
  • • Your infringement of any third-party rights

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of government, internet outages, or failures of third-party services (YouTube, TikTok, Stripe, etc.).

13. Changes to Terms

We may update these Terms of Service from time to time. For significant changes:

  • • We will update the "Last updated" date
  • • We will notify you via email or in-app notification
  • • We will provide at least 30 days notice before material changes take effect

Continued use of the Platform after changes constitutes acceptance. If you do not agree to the new Terms, you must stop using the Platform and may terminate your account.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid while preserving its intent.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vectio regarding your use of the Platform. These Terms supersede any prior agreements or understandings.

16. Governing Law & Jurisdiction

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.

16.2 Jurisdiction

Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

16.3 EU Consumer Alternative Dispute Resolution

If you are an EU consumer, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr
