Terms of Service

1. Acceptance of Terms

By accessing and using Vectio.app ("the Platform", "we", "us", "our"), you ("User", "you") accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. Service Description

Vectio is a marketplace platform that connects video editors with brands for competitive briefs and viral content collaborations. The Platform offers two models:

• Competition Model: Multiple creators compete on specific briefs, brand selects and pays the winner(s)
• Viral Model (Coming Soon): Creators submit videos to their own channels, earn based on performance metrics in real-time

3. User Accounts & Roles

3.1 Account Types

• Creators: Create and submit video content
• Brands: Create campaigns/briefs and select winning submissions
• Admins: Platform administrators with moderation privileges

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Providing accurate and complete information
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Age Requirement

You must be at least 16 years old to use Vectio.app. Users under 18 may need parental consent depending on local laws.

4. Content & Intellectual Property

4.1 User Content Ownership

You retain full ownership of all content you create and submit to the Platform. You are solely responsible for ensuring you have all necessary rights to the content.

4.2 License to Vectio

By submitting content, you grant Vectio a non-exclusive, worldwide, royalty-free license to:

• Display your content on the Platform
• Share content with relevant brands
• Use content for promotional purposes (with your consent)

4.3 Content Standards

All submitted content must:

• Be original or properly licensed
• Not infringe on third-party rights
• Comply with YouTube/TikTok Terms of Service
• Not contain illegal, offensive, or harmful material

5. Payment Terms

5.1 Creator Earnings

• Competition Model: Paid by brands for winning submissions
• Viral Model: Earn based on video performance metrics (views, likes)
• Minimum payout: 50 DKK
• Payment processor: Stripe

5.2 Brand Payments

• Brands set their own budgets
• Payments processed through Stripe
• Platform fee applies (disclosed at checkout)

5.3 Identity Verification

Before your first payout, you must complete identity verification through Stripe Identity or similar service. This is required for anti-fraud and regulatory compliance.

5.4 Tax Responsibility

Users are responsible for reporting and paying all applicable taxes on their earnings. Vectio may provide transaction records for tax purposes.

6. Prohibited Activities

You may NOT:

• Manipulate video metrics or engagement (fake views, likes, bots)
• Submit content you do not own or have rights to
• Create multiple accounts to game the system
• Harass, threaten, or abuse other users
• Upload malicious code or viruses
• Scrape or data mine the Platform
• Circumvent platform fees or payment systems
• Violate any applicable laws or regulations

7. Quality Control & Moderation

7.1 Submission Review

All submissions may be reviewed for:

• Compliance with case requirements
• Quality standards
• Suspicious activity (metric manipulation)

7.2 Rejection Rights

We reserve the right to reject submissions that violate these terms, fail quality checks, or show signs of fraudulent activity. Rejected submissions will include feedback when possible.

8. Social Media Integrations

8.1 Account Linking

When you link your YouTube or TikTok account, you authorize us to:

• Verify account ownership
• Fetch video performance metrics
• Access public profile information

8.2 Platform Compliance

You must comply with YouTube and TikTok Terms of Service. Violations on those platforms may result in suspension from Vectio.

8.3 Unlinking Accounts

You can unlink social media accounts at any time from Settings. This may affect your ability to submit or track performance.

9. Disclaimers & Limitations

9.1 Service Availability

The Platform is provided "as is" without warranties. We do not guarantee uninterrupted or error-free service.

9.2 Earnings Disclaimer

We make no guarantees about earnings potential. Performance metrics and earnings depend on many factors outside our control.

9.3 Third-Party Platforms

We are not responsible for changes to YouTube/TikTok APIs, policies, or metrics. Integrations may break due to external factors.

10. Termination

10.1 By You

You may terminate your account at any time through Settings or by contacting support.

10.2 By Us

We may suspend or terminate accounts that:

• Violate these Terms of Service
• Engage in fraudulent activity
• Abuse other users or the Platform
• Are inactive for extended periods

10.3 Effect of Termination

Upon termination, you lose access to the Platform. Outstanding earnings will be paid out (if above minimum threshold). Your data will be deleted according to our Privacy Policy.

11. Changes to Terms

We may update these Terms of Service from time to time. Significant changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.

12. Governing Law

These terms are governed by Danish law. Any disputes will be resolved in Danish courts.
